Management of Venture Investment Associates
Management and Investment decisions are the responsibility of the Investment Committee whose members include Stathis Andris (President), Jason P. Andris (Managing Director), Cliff Gilman (Managing Director), Jennifer Ayer (Principal), and Carl Malmstrom, (Chief Financial Officer).

Stathis Andris is the Firm’s founder and is President of the General Partner of all of the VIA funds.
Prior to founding Venture Investment Associates, Mr. Andris was with the American Express Company for twenty-one years. From 1981 to 1993 he served as Vice President-Investments, where he was responsible for the management of AVA Partners, the private equity arm of the company. AVA Partners invested in partnerships and made direct private equity investments. VIA I was organized in 1993 for the purpose of acquiring AVA Partners from American Express. Stathis also was President of Rexport, Inc. and AVA Company, two investment subsidiaries of American Express.
During his investment career at American Express, Mr. Andris was also responsible for the management of short-term investments, which amounted to several billion dollars and he managed Fireman’s Fund Insurance Company’s $2.8 billion government securities portfolio, when it was a subsidiary of American Express. Earlier, he also held various senior management positions in the Office of the Chairman, Travel Division, and the Corporate Development Office.
Before joining American Express, Mr. Andris was a financial consultant with the Irving Trust Company and held engineering positions with Esso Research & Engineering and UniRoyal Companies.
Currently, Stathis Andris serves on the board of advisors of several private equity funds. He holds B.S and M.S. degrees in chemical engineering, and an M.B.A. degree from the Wharton School.

Jason P. Andris is a Managing Director and a member of the General Partner of all of the VIA funds having joined VIA in 2000. He is a member of the Firm’s Investment Committee and has responsibility across all facets of the firm, i.e., the management of relationships with the funds' managers and its limited partners, as well as, the identification and development of new relationships for the firm.
Previously, Jason worked at Robertson Stephens and Co. as an Analyst in the investment banking group and subsequently was promoted to Associate. He was involved in all facets of corporate finance and mergers & acquisitions transactions working with many emerging growth companies and completing over a dozen transactions including the execution of two private placements, with aggregate value totaling over $1.4 billion.
Following RS&Co., he served as Manager of Financial Analysis and Planning with one of his clients, Global Vacation Group, Inc. (NYSE: GVG), a consolidator of value-added travel services companies. With GVG, he participated in the acquisition and integration of nine businesses, two equity offerings, and oversaw treasury investments, a share-repurchase program, and investor relations. His responsibilities also included reporting directly to the CEO and CFO of the company, assisting them with general management responsibilities.
Jason received an A.B. in history with a minor in economics from Hamilton College, where he was elected to Phi Alpha Theta history honor society. He received his M.B.A. from the Tuck School of Business at Dartmouth College. While at Tuck, he worked with the Center for Private Equity in performing a survey and analysis of valuation practices in the private equity industry. Separately, he researched the impact of secondary offerings and the end of insiders’ lockup periods on companies’ stock prices.
Jason is the Assistant Secretary and a Trustee of the Morris Land Conservancy, the Treasurer of the Lamington Conservancy, and has served on various committees in Bedminster Township, including the Planning Board. jandris@viafunds.com |

Clifford J.P. Gilman is a Managing Director and has responsibilities across all elements of VIA’s activities. He is a member of the Firm’s Investment Committee and works with existing and new relationships among VIA’s managers and limited partners.
Most recently, Cliff was with Prime Buchholz & Associates, Inc., a full-service investment consulting firm serving approximately 300 institutional clients, predominately endowments and foundations, with over $30 billion under advisement across all asset classes. He had sole responsibility for the firm’s private equity, as well as private real asset investing (real estate, natural resources, and commodities), through direct funds, secondaries, and funds of funds. Included in his responsibilities were educating clients and consultants on private equity.
Prior to that, he was an Associate Vice President and founding member of Merrill Lynch Private Equity Partners, LP, a global investor in fund, secondary, and direct private equity positions. In that role, he sourced transactions, conducted due diligence, participated in the investment review process and monitoring of over $350 million in direct and fund investments. In addition, he had responsibilities for the firm’s recruiting.
Cliff received his A.B. from Duke University with a double major in political science and Russian. He completed an honors thesis and won the Benjamin N. Duke Leadership Award. He also has an M.B.A. from the Tuck School of Business at Dartmouth College. cgilman@viafunds.com

Jennifer Acker Ayer is a Principal and has responsibilities across all elements of VIA’s activities. She is a member of the Firm’s Investment Committee and works with existing and new relationships among VIA’s managers and limited partners.
Most recently, Jennifer was the Marketing Director for New York-based Samson Capital Advisors, a private fixed income investment boutique founded in 2004 by partners and senior members from Goldman Sachs, Offitbank, and JP Morgan.
Prior to that, Jennifer was a Managing Director and Senior Private Client Advisor at Wilmington Trust, where she headed a client relationship team and was deputy head of the New York office. As one of the founders of that office in 1998, Jennifer oversaw the diversified financial needs of approximately 170 relationships including asset allocation, trust and estate planning, insurance reviews, and secured lending.
Jennifer began her career at UBS working as an Analyst in the Asset Securitization Group, attending UBS’ global credit training program, and she completed her tenure as an Assistant Vice President with the Private Bank, focusing on the firm’s larger families and their lending and financing needs.
Jennifer received her B.A. in international relations/modern european studies from Connecticut College and its CISLA Program.
Jennifer resides in Manhattan and is a member of the board of the HHC Foundation of New York. She also sits on the Woodrow Wilson Council and is a member of the Junior League of New York. jennifer.ayer@viafunds.com |

Carl H. Malmstrom is a Vice President, and the Chief Financial Officer of the funds. Mr. Malmstrom has been Chief Financial Officer of Venture Investment Associates since 1994, and has known and worked with Stathis Andris for over 35 years. Carl oversees the finance team, has a role in the Firm’s management and serves on its Investment Committee.
Mr. Malmstrom had an extensive career at the American Express Company, most recently serving as Vice President - Corporate Strategy. Immediately prior to joining VIA, Mr. Malmstrom was an independent consultant specializing in financial institutions’ marketing and distribution services. During his career he also has served as Vice President - Strategic/Marketing Planning for NationsBank Texas National Bank and Senior Planning Analyst for Hoechst Celanese Corporation.

Jessica Marshall is the Firm's Controller and a Certified Public Accountant with over 30 years of experience with both private and public companies. Ms. Marshall began her career with Coopers & Lybrand, spending five years specializing in the financial and tax needs of entrepreneurial businesses. She subsequently worked for ten years as controller for two privately held businesses. She joined Venture Investment Associates in 1994, initially working independently as a tax and systems consultant, and then as controller until 2001. Prior to rejoining the General Partner in 2006, she served as controller for the Diamond Foundation and for a hedge fund.

Chris Matassino is the Manager of Finance and a member of the finance and accounting team contributing at various levels of the firm’s accounting needs, and has sole responsibility for the accounting and financials of VIA I, II, & III.
Previously, Chris worked as a Senior Associate at PriceWaterhouseCoopers in the assurance and business advisory practice, working primarily with technology companies and venture capital funds, including VIA.

Matthew D. Burns is the Manager of Administration and supports the Firm in a variety of capacities including administrative and technical support, communications, and database management.
He is a former U.S. Marine with a diverse 20+ year management and marketing background in computer systems technology, office administration, and real estate. Matthew possesses a thorough knowledge of AUTO-CAD, computer operating systems, computer network systems, database development and maintenance, desktop publishing, and graphic design.
